On March 14, 2018, Shenzhen Wanrun Technology Co., Ltd. held its 8th meeting of the 4th Board of Directors, approving the acquisition of 51.0248% equity in Guangdong Zhongzhu Tianyou Aesthetics Lighting Co., Ltd. The company signed a cash purchase agreement with the counterparty, which included Chen Rubing, Guo Qiongsheng, and Hu Hua. Each transferred their respective shares—18.9428%, 29.07%, and 3.012%—to Wanrun Technology, totaling 209 million yuan.
Guangdong Zhongzhu Tianyou Aesthetics Lighting Co., Ltd. specializes in lighting technology research and development, urban lighting planning, design, consulting, and management. It also develops and sells green lighting products and control systems. The company holds key qualifications such as Class 1 Urban and Road Lighting Engineering and Special Grade B Engineering Design Lighting. Its subsidiary, Guangdong Zhongzhao Ruiguang Lighting Design Co., Ltd., is rated as Grade A.
Wanrun Technology stated that this acquisition would enhance its market competitiveness in LED lighting, particularly in municipal and landscape lighting projects. It aims to strengthen its position in the lighting market and promote downstream synergies within its LED business segment.
In addition, on the same day, Wanrun Technology also approved the proposal to acquire 51% equity in Nanjing Langhui Optoelectronics Technology Co., Ltd. The company signed a framework agreement with Jiangsu Zhongjingrong Enterprise Management Co., Ltd. to purchase the stake in cash.
Nanjing Langhui Optoelectronics focuses on R&D, design, sales, and maintenance of LED products, lighting equipment, photovoltaic products, and smart city intelligent control systems. It also offers technical services in lighting control systems. The company holds a Class I certificate for urban and road lighting and a Grade A certificate for lighting engineering design.
Wanrun Technology emphasized that this acquisition would further strengthen its position in the LED lighting market, especially in urban and road lighting. It will help build upstream and downstream synergies, enhancing the overall strength of its LED business segment.
